Terms and Conditions

These Terms and Conditions apply to all design and development services provided by AH Studio Ltd. By engaging AH Studio Ltd for such services, the Customer agrees to be bound by these terms.

Project Initiation and Payment

AH Studio Ltd reserves the right to request a deposit prior to commencing work on any project. The deposit amount and payment schedule will be detailed in the project quotation. If a deposit is requested, an invoice will be issued to the Customer, and payment is expected within 14 days of the invoice date. By remitting deposit funds, the Customer is accepting these Terms and Conditions and entering into a contract with AH Studio Ltd. AH Studio Ltd will invoice for the remaining cost of the project and associated services. AH Studio Ltd reserves the right to withhold delivery of any final designs or website files until payment has been received in full. AH Studio Ltd reserves the right to invoice for the full cost of the project if the Customer has been uncontactable/unresponsive for more than 14 days. All invoices are payable within 14 days of the invoice date. AH Studio Ltd reserves the right to charge the Customer for any fees incurred relating to commencement of collection and recovery processes for accounts that remain unpaid in excess of 14 days.

Project Delivery

Delivery dates for any deliverables will be as specified in the project quotation. Any delays arising from the Customer's actions, negligence, or failure to provide necessary materials may impact the agreed delivery schedule. AH Studio Ltd will promptly inform the Customer of any such delays. Unless explicitly stated in the quotation, printing costs and distribution are not included in the project price.

Ownership and Usage Rights

Upon receipt of full and final payment, the Customer shall gain full ownership of the final design deliverables, including all artwork, designs, and layouts, with unrestricted rights to use, modify, and distribute them. AH Studio Ltd reserves the right to showcase the final design deliverables for the purposes of self-promotion. However, any proprietary or confidential information belonging to the Customer will not be displayed without explicit prior consent. The Customer retains all intellectual property rights to any materials they provide to AH Studio Ltd, including but not limited to text, images, logos, and branding guidelines. AH Studio Ltd is not responsible for verifying the ownership or securing necessary licenses for these Customer-provided materials. The Customer warrants that they have the necessary rights and permissions to use all materials provided. All original preparation materials, sketches, visuals and unused ideas shown and considered will remain the property of AH Studio Ltd. AH Studio Ltd is free to use these unused and previous ideas for future conceptual and client work.

Typefaces

Any fonts/typefaces that are purchased for the final design, and/or supporting brand identity assets, are subject to commercial licensing laws. A font/typeface licence gives only the owner full rights to use the font/typeface as necessary. In initial presentations of concepts, AH Studio Ltd will provide information of the typefaces used and where they can be acquired. It is the responsibility of the client to acquire any necessary font licenses (paid or unpaid), so please bear this in mind when approving designs. It is against the law for AH Studio Ltd to provide any client a ‘copy’ of any font/typeface that it owns, and has personally purchased. If the Customer would like to use a copy of a font/typeface that AH Studio Ltd has purchased, to be used commercially, the Customer must purchase the respective font/typeface licence, and register it in their name.

Revisions

The quoted fee for the project includes the number of revisions as specified in the project proposal. Any additional revisions or work requested that falls outside the original project scope will be billed at AH Studio Ltd’s standard hourly rate. The Customer will be notified of this rate in advance.

Cancellation and Suspension

If the Customer chooses to cancel the project after work has commenced, full payment for all work completed up to the point of cancellation will be required. No refunds will be issued once the completed website has been launched. Depending on the work completed and overall budget, a portion of the funds may be returned at the discretion of AH Studio Ltd. AH Studio Ltd reserves the right to suspend any project if there is excessive micromanaging, a continued lack of trust, an inability to move forward after showing a reasonable number of design concepts, or a reluctance to pay the final payment. Fair notice will be given with a fair chance to remedy the situation. Any suspension or termination by AH Studio Ltd will not result in any refunds, and all designs and work developed will remain the full ownership of AH Studio Ltd.

Sourcing and Responsibility for Materials

AH Studio Ltd may, at its discretion, source stock images and other digital assets as part of the design process. AH Studio Ltd does not accept responsibility for the suitability, legality, or licensing of any materials provided directly by the Customer, including but not limited to logos, images, photos, maps, drawings, text content, and other intellectual property.

Hosting, Domain and Analytics

The project fee for website redesign, as outlined in the proposal, may include the cost of website hosting and domain name registration (or transfer) for an initial period, as specified in the proposal. Following the initial period, renewal of hosting and domain services will be available at AH Studio Ltd’s then-current rates, subject to the Customer’s request and agreement to these charges. Consultation reports and website analytics, if applicable to the project, will be provided as outlined in the project proposal. Monthly reports may also be provided upon request, subject to an additional fee.

Confidentiality and Data Protection

Both AH Studio Ltd and the Customer agree to maintain the strictest confidence regarding any proprietary or sensitive information shared by the other party during the course of this project. This includes, but is not limited to, project details, design concepts, and customer data. Any personal data obtained by AH Studio Ltd during this project will be processed in accordance with the General Data Protection Regulation (GDPR).

Warranty and Liability

AH Studio Ltd warrants that the final design deliverables will substantially conform to the agreed-upon specifications outlined in the project proposal. Any errors or omissions that represent a deviation from these specifications will be rectified by AH Studio Ltd at no additional cost to the Customer. Any requests for changes or additions beyond the original specifications will be considered additional work and may incur extra charges. To the fullest extent permitted by law, AH Studio Ltd shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with this project, including but not limited to loss of business, loss of profits, or loss of data. AH Studio Ltd affirms that all designs presented to the Customer will be original and to the best of its knowledge, will not infringe/plagiarise any other work. AH Studio Ltd will perform limited checks to ensure that its work has not unintentionally infringed on another’s design, including limited checks against the WIPO database and reverse image checks across search engines. However, AH Studio Ltd assumes no legal responsibility for any loss or damage suffered or incurred related to legal issues regarding the originality or authenticity of its work. The Customer agrees to perform their own checks and due diligence regarding plagiarism and originality.

Independent Contractor

AH Studio Ltd operates as an independent contractor and is not registered for Value Added Tax (VAT) unless otherwise stated. The Customer acknowledges that they have no employer responsibilities over AH Studio Ltd.

Customer Responsibilities

The Customer agrees to provide all necessary materials required for the project (including but not limited to logos, graphics, and website content) in the requested format and within a reasonable timeframe as agreed upon during the project initiation. Any delays in providing these materials may result in adjustments to the project timeline or the incurrence of additional costs.

Restrictions

These Terms of Service do not give the Customer any rights or permission to use/modify/alter/replicate or borrow any of the previous ideas/concepts/sketches that AH Studio Ltd presents. Unless otherwise agreed and arranged, AH Studio Ltd reserves the right to showcase the finished logo and associated designs in its portfolio and in any number of online galleries/portfolio/showcases/awards as well as in printed literature including books and magazines, now and in the future. Associated designs and artwork can include commercial print design/business card/stationery design/signage/desktop icons/mobile phone and other portable device application icons and imagery. The Customer is free to change, modify and adapt the finished logo design as they see fit, but they do so at their own risk.

Ownership & Copyright

All preparation materials, sketches, visuals, including the electronic files used to create the project remain the property of AH Studio Ltd. The final artwork/digital files will become the Customer’s property ONLY upon final payment of the project. If final payment is NOT received as agreed, all designs and concepts will remain the property of AH Studio Ltd until payment is received. If there are issues with final payment, AH Studio Ltd reserves the right to reuse or amend any of these ideas for other clients, or to be used freely as concepts in its portfolio. Should the client attempt to use/modify/alter/replicate or steal any of AH Studio Ltd’s ideas without making agreed final payment, AH Studio Ltd will take immediate legal counsel. AH Studio Ltd reserves the right to show any artwork, ideas, sketches created for this project in a portfolio as examples of client work. This is typically, but not limited to the completion of the project. If the Customer has any specific ‘secrecy/stealth mode’ or NDA requirements, please mention this before agreeing to the proposal. Final payment ensures that ONLY the agreed logo design becomes the Customer’s property.

Trademark & Copyright

Due to the lengthy and often costly procedures required to initiate any form of Trademark, Copyright and legal name search, AH Studio Ltd is unable to provide any practical help with this. If you require the logo to be registered as a trademark, then you must seek your own legal advice. You take full responsibility for ensuring that your company/product/name is legally free/available before work is started. Should any legal issue arise with the naming after the project has been completed, no refunds are possible, neither is AH Studio Ltd legally responsible for any problems thus arising.
