AH STUDIO LTD TERMS AND CONDITIONS

PROJECT INITIATION AND PAYMENT TERMS

If AH Studio Ltd has given a fee estimate or quotation (fixed fee) for work, it is given on the following basis:

An estimate is our indication, made in good faith, of the expected fee for carrying out the work concerned, based upon the information available at the time the estimate is given. An estimate is subject to review and is not a contractual commitment on our part to carry out the work for that fee; we will advise you promptly if it becomes apparent that our fees are likely to exceed an estimate that we have previously given.

A quotation (fixed fee) is a proposal by AH Studio Ltd to carry out specified work for a stated fee, and if the Customer accepts that proposal in writing there is a contractual commitment on the part of both parties. If we are asked to do more than the specified work, we will agree a further fee for that work, or the additional work will be charged at the prevailing standard hourly rates (see below). AH Studio Ltd also reserves the right to charge for additional work arising from circumstances known to you, as Customer, when our quotation was accepted but not disclosed to us at that time.

Unless otherwise agreed by prior agreement, AH Studio Ltd will invoice the total project cost upon completion. The stated fees will be payable within 14 days from the date of invoice.

For all new clients, upon acceptance of a quotation, AH Studio Ltd reserves the right to issue a proforma invoice, which will be settled prior to commencement of work. This proforma invoice will be 50% of the instructed fee plus other expenses (including equipment purchase). The remaining balance will be invoiced upon completion of the work.

Acceptance of quotation and instruction to engage AH Studio Ltd confirms acceptance of these Terms and Conditions. In the event that a Customer cancels after work starts or any payment to AH Studio Ltd is not received as agreed by way of these Terms of Appointment or by other agreement, we reserve the right to cease work and to withhold or withdraw all material until full payment is received. Overdue accounts (over 14 days) may incur collection fees.

PROJECT DELAYS, CANCELLATION AND SUSPENSION

In the event of any Customer delays (for example, lack of materials) that may impact the schedule, AH Studio Ltd will inform the Customer as soon as possible. If AH Studio Ltd cannot complete the project works due to unforeseen circumstances or events beyond our control, then the Customer will be notified. If any work that has been completed to date can be reasonably passed by the Customer to another Designer, then AH Studio Ltd reserves the right to submit an interim or final invoice for a percentage of the agreed fees covering the additional work. This is to be paid to AH Studio Ltd based on the amount of work completed by us.

Cancellation During the Project

In the event that the Customer cancels after work commences and ideas/proposals have been submitted, then any initial deposit or payment received by AH Studio Ltd in respect of a pro-forma invoice will be non-refundable. Full payment for any completed work beyond receipt of a deposit or payment received in respect of a pro-forma invoice will be required.

Project Suspension

AH Studio Ltd may suspend projects for excessive micromanaging, lack of trust, inability to progress, or withholding payment. Fair notice for remedy will be given. Suspensions/terminations by AH Studio Ltd will yield no refunds, and developed designs will strictly remain the property of AH Studio Ltd.

Force Majeure

AH Studio Ltd will not be liable for any delay or failure in performance to the extent that the delay or failure is caused by circumstances beyond the control of AH Studio Ltd and which, by exercise of reasonable diligence, we are unable to prevent, mitigate, or remove. Non-performance by AH Studio Ltd due to unforeseen circumstances (e.g., act of God, etc.) is not a breach, provided the Customer is notified and performance resumes promptly.
